It is the responsibility of the hiring facility/veterinarian/employer/business owner/buyers to evaluate and ascertain qualifications and information listed of all referred veterinarian(s) and/or employees, vendors, manufacturers, and retailers. We encourage all parties to do diligent research before purchasing and selling equipment, and business/businesses on the Site.

Vetprise hereby grants you a non-exclusive, limited, and terminable, right to access and use the Site only for your internal business use(s). You may not sell, transfer or assign any of the Services or your rights to any of the Services provided by Vetprise to any third party without an express written authorization. You agree that you are solely responsible for the content of any document you post to the Site and any consequences thereby arising from such posting. We reserve the right to suspend and/or terminate your access and use at any time without notice once a breach of these Terms and Conditions has been determined. User(s) represents, warrants and covenants that any material(s) or document(s) provided for use in connection with the Services will not violate any laws or regulations or third-party proprietary rights, including, without limitation, copyright, trademark, obscenity, rights of publicity or privacy, and defamation laws.

User(s) hereby grant Vetprise a non-exclusive, worldwide, royalty-free license to use the materials and documents and to hyperlink to Employer's website in connection with the Services, if necessary with mutual consent.

Vetprise grants user(s) a non-transferable, non-exclusive, limited, personal, and terminable right to access the Site Database for the purpose of viewing and/or downloading a single copy of paper and/or video resumes and/or equipment, and veterinary business for sale information and/or other materials or documents related thereto solely for User(s)’ use. The site Database is to be accessed and used solely by you. Upon your successful registration for the Database, you will be provided with a password that will permit you to access the Site Database. You may not provide your password or permit access to the Site Database to any third party. You agree; to protect and keep your password confidential, change your password on regular basis, and maintain and update appropriate security software. You may not use the Site Database in any way that, in Vetprise’s sole judgment, adversely affects Vetprise’s business, business prospects, the performance or function of the Site or the Database, or interferes with the ability, of other User(s)/subscriber(s) to access the Database. Further, your use of the Site Database may not interfere or violate, in any manner, the privacy of Vetprise subscriber(s). You may use your registration to the Site Database for employment, Hiring employee(s), buying selling equipment, veterinary business/businesses, and/or use the ‘Bid-Form’. You are specifically prohibited from using information contained in the Site Database to sell or promote any products or services or to take any other action that is, in Vetprise’s sole judgment, inconsistent with these Terms and Conditions, misleading or incomplete, or in violation of any Federal, State, Local law, statute, code, rule, and/or regulation. Vetprise reserves the right to terminate, suspend, update, alter or supplement, at its sole discretion, all or any part of the Site Database at any time without notice. By permitting access to the Site Database, Vetprise does not convey any interest in or to the User(s) Database or any other Vetprise property or Services. All right, title and interest in and to the Site Database are and shall remain with Vetprise.

It is agreed you (a). Represent, and warrant that you are at least 18 years of age or older, and if under the age of 18 or the age of maturity as defined in your respective jurisdiction, you will use the Site and Services only under the supervision of a parent or a responsible adult, or a legal guardian, and (b). Curriculum vitae posted must be accurate and of a genuine alive individual seeking employment for relief, full-time, part-time work, or for contractual basis on his or her own behalf. Vetprise is under no obligation to monitor the information, documents and/or materials posted. All listing(s) shall be free from any discriminatory, sexually explicit, libelous, defamatory, threatening, harassing or abusive content and free of copyrighted material(s) and/or confidential information and/or trade secret(s) of any entity.

User(s) are responsible for maintaining the confidentiality of personal information and password. Protect your password and do not share it. You are responsible for all uses of your registration, whether or not authorized by you. If your password is used by anyone other than you, to post objectionable material on the Site, you risk losing access to the Site and agree to notify Vetprise immediately of any unauthorized use of your registration and password.

The Site, it’s content and any/all materials and all right(s), title and interest in and to the Site are the sole property of Vetprise or its licensors, and are protected by United States and foreign copyright, trademark and other applicable laws. Except for the limited licenses expressly granted to you in these Terms and Conditions, Vetprise reserves for itself, and its licensors all other right(s), title(s) and interest(s). Without limitation on the foregoing, you may not reproduce, modify, display, sell, or distribute the Site content or any materials, or Data, or use them in any other way for public or commercial purpose. The use of the content on any other website or in a networked computer environment for any purpose is strictly prohibited. The Vetprise design logo and certain other names or logos associated with Site or in print are service marks or trademarks of Vetprise, and all related product and service names, design-marks and slogans, and tags are the service marks or trademarks of Vetprise. Vetprise does not assume any responsibility for curriculum vitae, documents and/or materials posted by User(s), and for the activities, omissions or other conduct of Users. Vetprise acts as a portal source for the online distribution and publication of User submitted information and has no obligation to screen communication(s) or information in advance and is not responsible for screening or monitoring resumes, documents and/or materials posted by Users. If notified by a User of a material which allegedly does not conform to these Terms and Conditions, Vetprise may investigate the allegation and determine in good faith and in its sole discretion whether to remove or request the removal of such material. Vetprise has no liability or responsibility to User(s) for performance or nonperformance of such activities, and reserves the right to take any action with respect to User submitted information that it deems necessary or appropriate, in its sole discretion.

If any are held inapplicable or unenforceable for any reason, then Vetprise’s maximum liability for any non-direct type of damages shall be limited to U.S. $250.00 in total, and under no circumstances/event shall Vetprise, its officers, directors, shareholders, employees, affiliates, or agents, be liable for any direct damages in excess in total of U.S. $250.00 or the amounts actually paid by you to Vetprise if greater that U.S. $250.00. Due to the nature of this agreement, in addition to money damages, User(s) agree that Vetprise will be entitled to equitable relief upon a breach of this agreement by its User(s).

Vetprise cannot and does not confirm identity of each User and that they are who they claim to be. Vetprise does not and cannot be involved in User-to-User dealings or control the behavior of Users on the Site. In the event that there is a dispute among Users, it is agreed that Vetprise is released from claims, demands and actual or consequential, direct and indirect damages of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes and conflicts.

Being a California resident, you waive California Civil Code Section 1542, which says: "A general release does not extend to claims which the creditor does not know or suspect to exist in his or her favor at the time of executing the release, which if known by him or her must have materially affected his or her settlement with the debtor.

If at any time you find the Terms and Conditions unacceptable, you may not use the Site Services. Vetprise reserves the right(s) to change the site at any time.

It is agreed that User(s) defend, indemnify, and hold harmless Vetprise, its subsidiaries, affiliates, officers, directors, employees and agents, from and against any third party claims, actions or demands including, without limitation, costs, damages and reasonable legal and accounting fees alleging or resulting from or in connection with your use of the Site, any information, document or material posted, use of the Services or breach of this Agreement. Vetprise shall use reasonable efforts to provide a prompt notice of any such claim, suit, or proceeding and may assist, at User’s expense, in defending any such claim, suit or proceeding.
In the event of any legal action arising hereunder or between Vetprise and a User, and Vetprise is the prevailing party, the User shall be responsible for reimbursing Vetprise all of its reasonable costs and expenses, including and not limited to attorneys' fees relating to the legal action.

As a User registered with Vetprise Site or in connection with the Services, you will be asked to create an account and provide Vetprise with certain information, including but not limited to, a valid email address, contact information, collectively referred to as: “User Information”, You acknowledge and agree that you have no ownership rights in your account.
All User Information will be used in accordance with the terms of Vetprise Privacy Policy. Please note, as set forth in the Privacy Policy that Vetprise may collect certain User Information and may contact User(s) periodically in accordance with the terms of the Privacy Policy. In addition, Vetprise reserves the right to comply, in its sole discretion, with legal requirements, requests from law enforcement agencies or requests from government entities, even to the extent that such compliance may require disclosure of certain User Information and/or retention of cached copies of User Information by third parties.
These Terms and Conditions, which may be amended from time to time by Vetprise, form a binding agreement (the "Agreement") between you and Vetprise. Your access to or use of the Site or Services indicates your acceptance of these Terms and Conditions. You as a User agree to use the Site at your own risk. This Agreement is governed by the internal substantive laws of the State of California, without respect to its conflict of laws principles. Jurisdiction for any claims arising under this Agreement shall lie exclusively with the state or federal courts in the State of California. If any provision of this Agreement is found to be invalid by any court having competent jurisdiction, the invalidity of all or part of a provision shall not affect the validity of the remaining parts and provisions of this Agreement, which shall remain in full force and effect. As a User(s) you may not assign or transfer your obligations under this Agreement. No waiver of any term of this Agreement shall be deemed a further or continuing waiver of such term or any other term. Except as expressly provided by Vetprise through a legal notice or material on particular web page(s) of the Site, this Agreement constitutes the entire agreement between User(s) and Vetprise.
